Please read these Terms of Service carefully before using AIBC Solutions services. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and AIBC Solutions ("AIBC", "we", "us", or "our") governing your access to and use of our services.
By engaging with AIBC Solutions services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
We reserve the right to modify these Terms at any time. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
2. Description of Services
AIBC Solutions provides AI-powered automation services specifically designed for Florida service contractors. Our services include:

3. User Responsibilities
As a client of AIBC Solutions, you agree to:
- •Provide accurate and complete business information required for service delivery
- •Maintain the confidentiality of any account credentials and access information
- •Use our services only for lawful business purposes and in compliance with all applicable laws
- •Not attempt to reverse engineer, decompile, or access the source code of our AI systems
- •Notify us immediately of any unauthorized access to or use of your account
- •Ensure compliance with all telemarketing and recording consent laws in your jurisdiction
- •Review and approve AI voice agent scripts before deployment
4. AI Voice Agent Specific Terms
Call Handling and Recording:
- •AI voice agents operate 24/7 to answer incoming calls on behalf of your business
- •All calls handled by AI agents may be recorded for quality assurance and training purposes
- •You are responsible for ensuring compliance with local call recording consent laws
- •AI agents will identify themselves as automated systems when legally required
Limitations and Disclaimers:
- •AI voice agents are designed to handle routine inquiries and lead capture; complex or emergency situations may require human intervention
- •While AI agents support 40+ languages, accuracy may vary based on accent, dialect, and call quality
- •We do not guarantee 100% uptime but maintain industry-standard reliability targets
- •Client is responsible for monitoring AI agent performance and reporting issues promptly
5. Intellectual Property
All intellectual property rights in and to the AIBC Solutions platform, AI systems, software, workflows, and proprietary methodologies remain the exclusive property of AIBC Solutions.
Client data, business information, and content you provide remain your property. We license this data solely for the purpose of delivering services to you.
Custom workflows and integrations developed specifically for your business may be reused by AIBC Solutions for other clients, but your confidential business data will not be shared.
You may not reproduce, redistribute, or create derivative works from any AIBC Solutions proprietary materials without express written permission.
6. Payment Terms
Fees and Billing:
- •Service fees are outlined in your individual service agreement or proposal
- •Recurring subscription fees are billed monthly in advance unless otherwise specified
- •Setup fees, if applicable, are due upon contract execution
- •Payment is due within 15 days of invoice date unless other terms are agreed in writing
- •Late payments may incur a 1.5% monthly interest charge or the maximum allowed by law, whichever is less
Refunds and Cancellations:
- •Setup fees are non-refundable once work has commenced
- •Monthly subscription fees are non-refundable but may be canceled with 30 days written notice
- •Cancellation does not relieve client of payment obligations for services already rendered
- •We reserve the right to adjust pricing with 60 days written notice
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIBC SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for any damages arising out of or related to these Terms or our services shall not exceed the total amount you have paid to AIBC Solutions in the twelve (12) months preceding the event giving rise to liability.
We provide our services "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that our services will be uninterrupted, error-free, or completely secure. You acknowledge that AI systems, while advanced, may occasionally produce unexpected results.
8. Termination
Either party may terminate these Terms and the associated service agreement with 30 days written notice, subject to the terms of your specific service contract.
We may immediately terminate or suspend your access to our services if you:
- •Breach any material term of these Terms
- •Fail to pay undisputed fees within 30 days of the due date
- •Use our services for illegal purposes or in violation of applicable laws
- •Engage in activities that harm our systems or other clients
Upon termination, you will be provided with a final data export, and your access to our services will be discontinued. We are not obligated to retain your data beyond 30 days after termination.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
You agree that any legal action or proceeding related to these Terms shall be brought exclusively in the state or federal courts located in Florida, and you hereby consent to the personal jurisdiction of such courts.
10. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services provided, both parties agree to first attempt to resolve the matter through good faith negotiation.
If negotiation does not resolve the dispute within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Florida, and the arbitrator's decision shall be final and binding.
Notwithstanding the above, either party may seek injunctive relief in court to protect intellectual property rights or confidential information.
